These Terms and Conditions ("Terms") govern access to and use of the oryx platform and website located at https://oryx.so (the "Platform"), operated by oryx Technologies LLC ("oryx," "we," "us," or "our"). By registering for an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms apply to all users of the Platform, including employers, recruiters, and candidates. Additional terms may apply to specific features or subscription plans and will be presented at the time of purchase or activation.

Definitions

For the purposes of these Terms, the following definitions apply:

  • "Platform" means the oryx web-based applicant tracking and hiring software, including all features, tools, integrations, and content made available through oryx.so and hiring.oryx.so

  • "Employer" or "Customer" means any business, company, or individual who registers for a free, trial, or paid subscription to post jobs, manage applications, or run hiring workflows on the Platform

  • "Candidate" means any individual who submits a job application or otherwise uses the Platform in connection with seeking employment with an Employer

  • "Candidate Data" means personal data of Candidates held within an Employer's account on the Platform

  • "User" means any individual accessing the Platform, whether as an Employer, Candidate, or authorised team member of an Employer account

  • "Content" means any text, data, information, files, or materials uploaded, submitted, or created by Users on the Platform

  • "Subscription" means a plan granting an Employer access to Platform features for a defined period

  • "Standard Retention Model" means the candidate data retention rules published at oryx.so/retention

  • "Data Processing Agreement" or "DPA" means the data processing agreement described in section 14

Roles and Account Types

2.1

Employers

Employers create accounts to post job listings, search and review candidate profiles, manage applications, and collaborate with hiring team members. The person who registers an Employer account is the account owner and is responsible for all activity under that account, including activity by any team members they add.

2.2

Candidates

Candidates use the Platform to apply for jobs with Employers and to take part in their hiring processes, including interviews and scheduling. No account is required to apply for a job or attend an interview. Applying for a job does not subscribe a Candidate to any promotional communications from oryx.

How Candidate Data is handled is described in the privacy notice linked from each application form, which names the Employer as the controller of that data.

2.3

Account Accuracy

All Users are responsible for providing accurate and current information during registration and for keeping account details up to date. Oryx reserves the right to verify registration information and to reject or suspend any account where there is reason to believe the information is false, incomplete, or the account is being used for unauthorized purposes.

Acceptable Use

3.1

Permitted Use

The Platform may be used solely for lawful recruitment and employment-related purposes. Employers may use the Platform to find and hire candidates. Candidates may use the Platform to apply for employment opportunities and manage their applications.

3.2

Prohibited Conduct

Users are strictly prohibited from:


  • Using the Platform for any purpose other than legitimate recruitment and employment activities

  • Posting job listings that are false, misleading, discriminatory, or that do not represent genuine employment opportunities

  • Collecting, storing, or processing candidate data obtained through the Platform for any purpose other than hiring

  • Sharing, selling, or transferring candidate data accessed through the Platform to any third party without the candidate's separate written consent

  • Submitting offensive, harmful, defamatory, or unlawful content

  • Attempting to reverse engineer, scrape, or extract data from the Platform by automated means

  • Impersonating any person or entity or misrepresenting your affiliation

  • Circumventing any access controls, security measures, or subscription limitations

  • Collecting or processing special categories of personal data through the Platform, except where an Employer is legally required or expressly permitted to collect it, such as voluntary diversity and equal employment opportunity data gathered for compliance reporting. Such data must be kept separate from hiring decisions and used only for the compliance purpose


Oryx reserves the right to remove any Content that violates these Terms and to suspend or terminate the accounts of Users who engage in prohibited conduct.

Employer Obligations

4.1

Compliance with Employment Law

Employers are solely responsible for ensuring their hiring practices comply with all applicable federal, state, and local employment laws, including but not limited to the Equal Employment Opportunity Act, the Americans with Disabilities Act, the Age Discrimination in Employment Act, and all applicable state anti-discrimination statutes, together with the employment laws of any other country in which they hire. oryx does not provide legal advice and is not responsible for Employer compliance.

4.2

Job Listings

Employers warrant that all job listings posted on the Platform are accurate, genuine, and not designed to mislead candidates. Job listings must not contain discriminatory language or requirements prohibited by applicable law.

4.3

Candidate Data

Employers are the controller of the Candidate Data in their oryx account. Employers agree to use Candidate Data only for the hiring processes it was obtained for, to keep account access secure, and to respond to candidate rights requests.

Candidate Data is retained according to the Standard Retention Model at oryx.so/retention, which forms part of these Terms. By accepting these Terms, the Employer instructs oryx to apply that model to their account.

Employers may adjust retention within the legal limits shown in their account settings. Two limits cannot be changed: oryx will not retain Candidate Data beyond the maximum permitted in a region, and will not delete records earlier than a legal minimum requires. Where a minimum applies, records are suppressed from use and destroyed once it expires.

These obligations survive termination of the Employer's subscription.

4.4

Processing instructions

For Candidate Data, oryx acts as the Employer's processor. oryx processes Candidate Data only on the Employer's documented instructions. Those instructions are: these Terms, the Data Processing Agreement, the Standard Retention Model, and the configuration the Employer sets in their account. Changes an Employer makes in account settings are recorded with the user and timestamp, and constitute a further documented instruction.

oryx will not use Candidate Data for its own purposes, including marketing, analytics that identify individuals, building candidate profiles on any other service oryx operates, or training artificial intelligence models.

Candidate Obligations

Candidates warrant that all information submitted to the Platform, including resumes and application materials, is accurate, truthful, and their own original work or used with appropriate permission. Candidates are responsible for the accuracy of the contact details they provide. Questions about how a specific Employer handles application data should be directed to that Employer, whose details appear on the privacy notice linked from the application form.

Subscriptions and Payment

6.1

Subscription Plans

Employer features are available on a free tier with limited active searches and on paid subscriptions. Subscription plans, pricing, and included features are described on the oryx pricing page at oryx.so/pricing. Oryx reserves the right to modify subscription offerings at any time, with changes to existing subscriptions communicated at least 60 days in advance.

6.2

Payment Processing

All payments are processed by Stripe, Inc., a third-party payment processor. Oryx does not store, access, or retain any credit card, debit card, or banking information. By submitting payment details on the Platform, you agree to Stripe's Terms of Service, available at https://stripe.com/legal. Oryx is not liable for any payment failures, processing errors, or disputes handled by Stripe.

6.3

Payment Terms

All subscription fees are billed in advance for the relevant subscription period. Invoices are payable within 15 days of the invoice date unless otherwise stated on the invoice. Oryx may suspend Platform access for accounts with overdue balances after providing written notice.

6.4

Auto-Renewal

Subscriptions automatically renew at the end of each subscription period at the then-current rate unless the Customer cancels before the renewal date. Cancellation instructions are available in account settings. Oryx will send a renewal reminder at least 14 days before the renewal date.

6.5

Fee Changes

Oryx may not increase fees during an active subscription period. Any fee increase for a renewal period will be communicated to the account holder at least 60 days before the renewal date. Continued use of the Platform after the renewal date constitutes acceptance of the new fee.

6.6

Refunds

Subscription fees are non-refundable except where required by applicable law or as expressly stated at the time of purchase.

Intellectual Property

7.1

Oryx platform

All intellectual property rights in the Platform, including its software, design, features, and oryx-created content, are owned by oryx Technologies LLC. By accepting these Terms, Users receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during their subscription period for the permitted purposes described in these Terms. No other rights or licenses are granted.

7.2

User Content

Users retain ownership of the Content they submit to the Platform. By submitting Content, Users grant oryx a non-exclusive, worldwide, royalty-free licence to store, display, and process that Content solely to provide the Platform to them. This licence does not extend to selling User Content, and it does not permit oryx to use Candidate Data for product development, analytics that identify individuals, or training artificial intelligence models.

7.3

Restricted Actions

Users may not: (a) copy, modify, or create derivative works of the Platform; (b) reverse engineer or decompile any part of the Platform; (c) sublicense, rent, lease, or transfer access to the Platform to any third party; or (d) use the Platform in any way that infringes the intellectual property rights of oryx or any third party.

7.4

Data Portability

Upon written request, oryx will provide Employers with an export of their account Content in machine-readable format, free of charge, once per subscription term. Following account closure, Content is handled as described in section 8.3.

Suspension and Termination

8.1

By oryx

Oryx may suspend or terminate a User's access to the Platform immediately and without notice if the User breaches these Terms, engages in conduct that is fraudulent, harmful, or unlawful, or if required by law. Oryx may also suspend access with notice for non-payment of fees.

8.2

By the Customer

Customers may terminate their subscription at any time by providing written notice. Termination will take effect at the end of the current subscription period. Early termination does not entitle the Customer to a refund of prepaid fees.

8.3

Effect of Termination

Upon termination, the Customer's access to the Platform will cease. Customers may export their account Content for 30 days after termination. After 30 days, oryx deletes or anonymises Candidate Data held for that Customer, except where a legal minimum retention period still applies, in which case the data is suppressed and destroyed when that period expires. Business account records are retained for 7 years for tax and audit purposes, as described in the Privacy Policy.

Disclaimers and Limitation of Liability

9.1

No Hiring Guarantee

Oryx provides a platform to connect employers and candidates. Oryx makes no representations or warranties regarding the suitability, qualifications, or background of any candidate, or the legitimacy, safety, or accuracy of any job listing. Hiring decisions are solely the responsibility of the Employer.

9.2

Platform Availability

The Platform is provided on an "as is" and "as available" basis. Oryx does not warrant uninterrupted or error-free access. Oryx will use commercially reasonable efforts to maintain platform availability and will notify Customers of planned downtime in advance where practicable.

9.3

Limitation of Liability

To the fullest extent permitted by applicable law, oryx's total liability to any User for any claims arising out of or related to these Terms or use of the Platform shall not exceed the total subscription fees paid by that User in the 12 months preceding the claim. Oryx shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, or affects any right a User has under applicable data protection law.

9.4

Indemnification

Users agree to indemnify and hold harmless Oryx Technologies LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) their use of the Platform in violation of these Terms; (b) their Content; (c) any claim by a candidate or third party arising from the Employer's hiring practices; or (d) violation of any applicable law.

Third-Party Integrations

The Platform may offer integrations with third-party tools and services, such as job boards and communication platforms. These third-party services are governed by their own terms and privacy policies. oryx is not responsible for the availability, accuracy, or conduct of any third-party service. Users access third-party integrations at their own risk. Vendors that process personal data on oryx's behalf are listed at oryx.so/sub-processors.

Modifications to These Terms

Oryx may update these Terms from time to time. When material changes are made, oryx will notify Users by email or by posting a prominent notice on the Platform at least 30 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and may terminate your subscription without penalty within 30 days of the notice.

Governing Law and Disputes

12.1

Employers

For Employers and business Users, these Terms are governed by the substantive laws of Switzerland, excluding its conflict of law rules. Disputes that cannot be resolved informally are subject to the exclusive jurisdiction of the courts of Lausanne, Switzerland. Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

12.2

Candidates and Consumers

If you use the Platform as an individual rather than in the course of a business, nothing in these Terms deprives you of the right to bring proceedings in the courts of your country of residence, or of the protection of any mandatory consumer protection law that applies there.

12.3

Data Protection

Nothing in these Terms limits any right to lodge a complaint with a data protection supervisory authority or to seek a judicial remedy under applicable data protection law.

General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, the Data Processing Agreement, the Standard Retention Model, and any applicable subscription order, constitute the entire agreement between oryx and the User regarding use of the Platform

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect

  • Waiver: Failure by oryx to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future

  • Assignment: Users may not assign their rights or obligations under these Terms without oryx's prior written consent. oryx may assign these Terms in connection with a merger, acquisition, or sale of assets

  • Notices: All legal notices to oryx should be sent in writing to info@oryx.so or to oryx Technologies LLC, Avenue de Tivoli 19b, 1007 Lausanne, Switzerland

Data Processing Agreement

Where oryx processes personal data on an Employer's behalf, the Data Processing Agreement at oryx.so/dpa applies and forms part of these Terms. It sets out the subject matter and duration of processing, oryx's obligations as processor, security measures, the use of sub-processors, breach notification, audit rights, and the deletion or return of data on termination.

In the event of any conflict between these Terms and the Data Processing Agreement in relation to the processing of personal data, the Data Processing Agreement prevails.
